Legal
Terms of Service
Effective
Draft. This page is awaiting legal review and company details (shown in brackets). It describes how CallWarden works today.
These terms are an agreement between you (the business using CallWarden, and the person accepting for it) and [Company legal name] (“CallWarden”, “we”). By signing in, connecting a Google Ads account or starting a subscription, you agree to them. Sections 5 to 8 limit what we are responsible for. Please read them.
1. What CallWarden does
CallWarden reads your Google Local Services Ads leads through the Google Ads API. It flags leads that look invalid (repeat callers, robocalls, sales pitches, wrong numbers), helps you rate them with Google for credit, can reply to message leads, sends alerts, and, on plans that include it, can pause and resume your Local Services campaigns during bot-call floods. The optional Chrome Audio Bridge lets CallWarden transcribe and check call recordings.
2. Your account and your authority
- You must be at least 18 and authorized to act for the business and for every Google Ads account you connect.
- You are responsible for the people you invite, for keeping your Google account secure, and for activity under your CallWarden account.
- You must give accurate information, including the phone number you verify for text alerts.
3. Your Google authorization
When you connect Google Ads, you authorize CallWarden to read your account data and to take only these actions for you: rate leads through Google’s lead-feedback process, reply to message leads, and pause or resume Local Services campaigns as described in section 6. CallWarden’s software blocks every other change, including budgets, bids, targeting and ads (see Security). You can revoke access at any time in Settings or in your Google Account.
4. Co-Pilot and Autopilot
In Co-Pilot mode (the default), nothing is sent to Google until you approve it. If you turn on Autopilot, you authorize CallWarden to rate leads automatically when its confidence meets the threshold shown in Settings. You are responsible for the mode you choose and can change it at any time.
5. Health information (HIPAA)
CallWarden is not designed to receive protected health information (“PHI”) as defined by HIPAA. If you are a HIPAA covered entity or business associate, such as a medical, dental or behavioral-health practice, you may not use CallWarden to process call recordings, messages or other data that contain PHI unless you and [Company legal name] have signed a separate enterprise agreement that includes a Business Associate Agreement. Without one, you must not connect such accounts, enable the Chrome Audio Bridge for them, or otherwise send PHI to CallWarden, and you are responsible for any PHI you send in breach of this section.
6. Circuit breaker authorization and safe harbor
If you turn on the bot-flood circuit breaker (Shield and Agency plans), you authorize CallWarden to pause your Local Services campaigns automatically when call activity matches the rules in your settings (or our defaults, if you keep them), and to resume them when you choose or when your settings say to. You can turn the breaker off, change its rules or resume campaigns at any time.
You understand that a paused campaign does not show ads or receive leads, and that automated detection can pause campaigns during real customer activity. To the fullest extent permitted by law, you agree that CallWarden is not liable for ad impressions, leads, calls, jobs, revenue or profits lost while campaigns are paused or resumed under this section, whether the pause was triggered correctly or not.
7. Google decides lead credits
Google has sole discretion over whether any lead is credited, including leads rated through its lead-feedback process (the Google Ads API’s ProvideLeadFeedback). Google can change its rules, limits and timing at any time. CallWarden does not promise any number or amount of credits, and estimates on our website, including the waste calculator, are not a guarantee.
The only exception is our 1-Lead Recovery Guarantee: If CallWarden doesn't get at least one lead credited within your first 60 days, we refund your first month. It applies once per business, to its first paid subscription.
8. Fees, renewal and cancellation
- Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until cancelled. Prices exclude applicable taxes.
- You can cancel any time in your billing settings. Cancellation takes effect at the end of the current billing period.
- Except under the 1-Lead Recovery Guarantee or where the law requires, fees already paid are not refundable.
- If a payment fails, Stripe retries it. If it stays unpaid, we may limit paid features until it is resolved.
9. Limitation of liability
To the fullest extent permitted by law, the total liability of [Company legal name] and its suppliers for all claims relating to CallWarden or these terms is limited to the fees you paid to CallWarden in the 30 days before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, leads or data, even if we were told they were possible. Some jurisdictions don’t allow these limits, so they apply to you only as far as the law allows.
10. Disclaimer
CallWarden is provided “as is” and “as available”. We work to keep it accurate and running, but we don’t warrant that it will be uninterrupted, error-free, or that every invalid lead will be found. CallWarden is independent and is not affiliated with or endorsed by Google.
11. Acceptable use
Don’t use CallWarden to break the law or Google’s policies, to submit false lead feedback, to access accounts you’re not authorized for, to probe or overload our systems, or to resell the service without our written permission.
12. Your data
You own your data. You give us permission to process it only to provide and improve CallWarden for you, as described in our Privacy Policy. Call recordings are deleted 35 days after the call.
13. Text messages
If you verify a phone number and opt in, we text you alerts and you can reply to approve actions. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help.
14. Suspension and termination
We may suspend or end access if you breach these terms, if required by law, or to protect CallWarden, Google or other customers. You may stop using CallWarden at any time. Sections 5 to 10 and 15 survive termination.
15. Changes, governing law and contact
We may update these terms and will tell you about material changes before they take effect. These terms are governed by the laws of [state], without regard to conflict-of-law rules. Questions: [contact email], [Company legal name], [mailing address].
